The Board of Directors has overall responsibility for
the corporate governance of the Company. It is
comprised of both executive and non-executive
Directors, up to seven in number. The non-executive
Directors are highly experienced and well-renowned
professionals in their respective fields and in the
corporate world. It is accountable to the shareholders
for the activities of the Company, its strategies and
financial performance.
The Board represents and acts with a view to the best
interests of the Company and its shareholders. The Board
and its individual Directors do not represent any specific
constituency or interest group within the industry or
communities within which the Company operates.
The principal duty and responsibility of the Board is its
stewardship responsibilities, including overseeing the
management of the Company. The day-to-day management of
the business and affairs of the Company is delegated by
the Board to the CEO and other executive officers. |
